is there any way to prevent the flicker that occurs @ every startup, after a successful overclock?
-AND-
is there anyone else who loses the nvidia system tray icon after an overclock?

 
Well the flicker is not associated with coolbits. You must have messed with the color profiles.

As for the system tray, simply reenable it by going to Troubleshooting in the Nvidia Properties and checking the box labeled "Display Nvidia System Settings".

i'm relatively sure that i didn't mess with the color profiles, is there any other cause?
 
coolbits does not cause refresh resets. sometimes XP does though. use the Refresh Rates Overrides settings in your display properties advanced settings to set what you want. dont go over your monitor's capability though.
