I would like a recommendation for a motherboard that can take a AMD Athlon 64 Processor(Socket 939), with Onboard Video,Onboard Audio,for the ATX form factor and that has the Cool'n'Quiet feature.Iam NOT interested in Gaming or Overclocking.🙂

 
But it is micro ATX - so it would fail one of your requisites. And Cool and Quiet feature works on Windows XP, but not on Windows 2000
