really tight budget...need help pls with motherboard and cpu!!

I really on tight budget and i need new processor and new motherboard, my budget range is $150-200
my old mobo was not working anymore.

this is my specs for refrence:

cpu:intel pentium II mx
Motherboard: P5I430VX-250DM
hard drive: 2 WD digital caviar
video card:Diamond multimedia S3 virge onboard
sound card: sound blaster live 5.1
cd-rom:cyberdrive 120 D
modem:US robotics
PSU: 235 watt
OS: windows 2000

I need new mobo and processor that will compatible with my other components, and ofcourse in my price range. Also where i can buy the parts??
any help will be appreciate it.

spanky you forgot about RAM :p (I always forget that too)

He has to be using PC100 so if he gets that mobo, he'll have to spend another 50-60 for DDR RAM.

If you want to spring for the RAM what spanky suggested is a steal, but if you want to stick with the same RAM you might want to look at a KT133A solution like the MSI K7T Turbo

Add $10-20 for a cheap HSF and thermal compound.

Better graphics and memory in addition to a faster cpu. If you stick with PC100/133 memory (assuming that's what you have) it will even be within budget!

Edit: You may need a new PSU. Just like mentioned above.

i assumed that babah was gonna use his existing ram, since his original post only asks for cpu and mobo :)
