re-encode with different audio

how can I re-encode or transcode this .avi file to use a .mp3 audio file instead of the audio present in the .avi file? Nero isn't giving me the option. I remember TMPGEnc had the option to include a seperate audio file, but I need mpeg2 as this file will be filling up a dvd.

any ideas? thanks
