Random restarts

so I keep getting these random restarts with my computer, which is a Intel p4 2.4c on a Asus P4C800-E delux with OCZ pc4200 memory.

Firstly I ran memtest to check the memory, this was without any overclocking, I ran each dimm seperatly and tested each for 36 hours then did the same test with both together. I got no errors. Even with no overclock I was still getting restarts.

I then wanted to run prime 95, 2 instances and I also used MBM5 to get the temps, the temps all seems quite cool and there was nothing that I hadn't seen before. Even so, during prime 95 I would sometimes get a random restart and other times I wouldn't and sometimes I wouldn't get a restart but I would get a hardware failure.

This was strange so i then reinstalled my os, and then redid the tests on a fully clean system, I got the same results. though this time I also ran 3dmark06 to check the gpu and sometimes id come back from testing and my monitor wouldn't have any display, and the monitor would loose sync with the computer. sometimes I would also get a restart.

I then decided to run prime 95 not in windows but off of the ultimate boot disc, during this sometimes I would get instant failures andother times it would run fine.

I also checked my PSU with a multimeter and even under load it is providing near perfect power.

This is very strange, hopefully you guys can give me some advice. Im thinking of just RMAing the mobo, cpu and memory as I dont have other parts to test with.

"I then decided to run prime 95 not in windows but off of the ultimate boot disc, during this sometimes I would get instant failures andother times it would run fine." -i like to blame the motherboard. its highly unlikely its the cpu. ram is good from your tests, i'd be confident thats not the problem. since prime95 fails both via windows on a HD and off a cd, i would say its either that you overclocked the cpu, but in this case you didnt, or its the northbridge, etc., something related to the motherboard, so just rma that.
