Random Power off

I could use some advice from you guys. My system likes to shut down for no apparaent reason at random intervals. Sometimes I can go for hours without a problem, sometimes it's minutes between occurences. The computer powers downs and is followed by a high pitch continous beep.

I thought it might be a temparature problem, but i'm at 98 degrees F on the CPU right now and I've seen it get up to about 120 degrees F. That's not too hot, is it?

I've also cleared out my CMOS memory, as instructed in the MB guide.

Here's my specs:
Athlon 2600XP
Soyo Dragon KT333 ultra MB
Radeon 9200 - Driver Version: 6.14.0010.6476 (English)
Soundblaster Audigy - Driver Version: 5.12.0001.044
1 gig RAM
Phoenix - AwardBIOS v6.00PG
Windows XP Home SP2 (problem happened prior to install of SP2 as well)
Antech 400W PS

Hopefully someone can offer a few suggestions.

Is 100 degrees F overheating? I didn't think that was too hot. How can I test for bad memory? I have 2 512 sticks - I've pulled both out and tried with only one at a time in with the same results. It seems to happen most often when playing video games (Doom 3, City of Heroes), but has happened during other non graphics-intensive applications as well (Office).

I was thinking about re-installing Windows, but it shuts down on me everytime before I can begin the install.
 
Overheating of the processor or gpu would be my guess. The other problem may be a bad PSU. I would make sure the heatsink and fan is working properly on the cpu and then put my hand on the heatsink while running and see if it is hot/cold etc. I would be shocked if it is the GPU but it is not exactly game friendly so something may be occuring. Make sure you have good air flow

What this ^^ Gentleman said, Cpu temp has Nothing to do with Memory temp.

Huh?

CPU and Memory temp make up CASE TEMP.

1 Long beep still = Memory error
