motherboard im lookin at is :

GIGABYTE "GA-K8NSNXP-939" which states:

RAM: 4x DIMM for Dual-Channel DDR400/333/266 Max 4GB

would

OCZ Enhanced Latency Series Dual Channel 184 Pin 1GB( 512MBx2) DDR PC-4200

i see

Memory

Type: Dual channel DDR400/ 333/ 266 -184pin
Max capacity: Up to 4GB by 4 DIMM slots

from their website, would this ram work in this mobo?

thx

Yes, it would work. No motherboard will say it supports higher than DDR400(pc3200), because anything higher than that is for overclocking.
