If I want to upgrade my CPU and MOBO and keep everything else the same, Would I need to do anything after I attach all the Ram, Optical drives, HDD's, Video and Sound Cards?

This question will be better answered once AMD slash prices next week on their processors due to Conroe, so wait til then.

You'll have to install/repair the OS, and install the motherboard driver package (& drivers for all the integrated peripherals).

If you want suggestions on an upgrade, you should list your current system components, and say what you expect from an upgrade (e.g. smoother gaming, or faster encoding/decoding, or better desktop productivity) depending on the main apps you use on the system. That way you'll get responses tailored to your specific situation.

Right now I'm looking at AMD Athlon 64's 3200+ or 3400+ for Socket 939. What motherboards work well and arent to expensive. As I stated that I am re-using all the other components because it's all I really need. I am looking for replacements because it will be a backup computer.

I really only use this to surf the web, watch DVD's and TV Shows, CS Source, Online Poker, and school work.

Specs are:
CPU - AMD XP 2400+ - Might be Broken
MOBO - Asus A7n8X-X - Might be Broken
Kingston Hyper X CAS 2-2-2-5 (1 GB)
ATI 9600XT VC
1 Maxtor 80 GB Drive (PATA)
1 WD 160 GB (PATA)
Pioneer 16X DVD-ROW
Lite-On 16X CD Burner
Ultra 500W Power Supply

I think the CPU or MOBO is broken but I have no idea which one it is because I have no spare parts lying around.

A single core Athlon 64 would be more than powerful enough for those tasks: you could even consider a Sempron 64, but after the price drops on the single core Athlon 64 you'd not save much money by going for the Sempron.

I'd recommend the ASROCK DualSATA-939 board: it'll take your nice low latency memory, provide an AGP slot for that old Radeon & give you upgrade options (PCI-e graphics, AM2+DDR2 etc).

I know about the price cuts from AMD are coming on Monday but I thought the price cuts were more catered to the dual core processors and not really the single core athlon 64's
