I know this is a noob question but I can seem to find it anywhere.

I am currently building a new Conroe system from the ground up. I currently have an AMD 2800+ system with Windows XP retail version.

Can I just move my hard drive from one computer to the next and have everything work fine?

If not, will reformatting and then reinstalling XP fix the problem?

It is unlikely that you could just move you hdd "from one computer to the next and have everything work fine." All the drivers, registry pointers, bios configs would most likely be wrong. You would be able to use your hdd in the new system and yes it would require reinstalling at a minimum and most probably a reformat.
