Quick Question about OEM software

I have WinNT 4 OEM software package from Compaq that I'm not using. I see some people on Eb@y auctioning it and including an "untested" harddrive or motherboard with it. Is this legal? What if I'm not selling it, what if I'm trading it for hardware or other software? Is this legal? Please respond quickly, I'm in the middle of a deal, and I need to know if I need to get out of it.

OEM is "Not for Resale" so it is illegal to trade it (because that is the same as selling it and then buying something from the other party for the same price that you sold the software for). However, I could be wrong 🙂
