quick heatsink question

I have a stock heatsink that came with an opteron 165 a while ago that I didnt use.

I'm buying a cheap OEM CPU off newegg, and want to know if that heatsink will work with it.
The CPU is AMD Athlon 64 4000+ San Diego 2.4GHz 1MB L2 Cache Socket 939
MOBO is ASUS A8V-VM SE Socket 939 VIA K8M890 Micro ATX AMD Motherboard - Retail
