If its stable enough to run memtest for a few hours (which is DOS based), then it should be good for a BIOS flash, which is also DOS based and without any HIMEM programs along with it.
But its up to you, if you feel uneasy about it, then don't do it. What is the BIOS date on the mobo? If its on the old side, there might be some CPU/BIOS incompatibility that only a micro-code update (via BIOS flash) is going to fix. If the BIOS is new enough and the DFI website states that BIOS version DOES support your CPU, then you probably have a bum motherboard. Time to RMA.
