Stick thumbdrive in computer.
Open My Computer.
Rightclick on thumbdrive and click format.
In the box that comes up select FAT32 under filesystem.
Check the quick format box on the bottom.
Then click start.

Done.

Typically you can't format a large hard drive in Fat32 in windows. You'll need a special tool for that. But, if you're using a USB Flash Drive, it'll work no problem.
