I'm planning on getting an athlon xp 2100+ and I just want to make sure this will be enough to cool it. I plan on putting this heatsink on it and arctic silver...will this be enough? Also, this doesn't include the case fans...

And can anyone recommend a site on how to install a heatsink and thermal compound properly? i've never done this before... thanks

Here are the instructions on installing thermal compound. That HSF will be fine. You might want to look at the Thermalright AX-7 as it performs a little better and costs much less.
