Problem with WinXP Pro after upgrading to MSI KT3-Ultra

I've just upgraded my pc with a MSI KT-3 Ultra (no RAID), with XP1800+ cpu and ATI Radeon 8500LE gfx card.
The previous OS in my system was win98se & I upgraded to WinXP Pro after the hardware upgrade. The problem is whenever I shutdown windows, the pc reboots itself back into windows (instead of shutting down & switching off the pc). Sometimes it shuts down normally but most of the times it reboots rather than switching off.
What's wrong?
 
Have you installed all the patches from Microsoft's Update site? Some of them deal with shutdown issues.

Dont upgrade and OS, always format/reinstall after mother board swap.
Turn of auto restart on error, you may now get a BSOD, read and report back but format first.
 
I've updated the bios, & use default settings in the bios. Now, when I shut down, it doesn't reboot but the thing refuses to power down after the screen went blank. It also beep 3 long beeps (the beeps repeats itself). The Dled on the MSI D-Bracket shows 3 red lights & 1 green light (green on #2 LED). According to the manual it means ram error or sth.
What's wrong? apart from the shut down problem the pc functions normally.
 
Ok, here's the full story:
I just bought a KT-3Ultra & paired it with a XP1800+, 256mb Nanya DDR + 256mb Hyundai DDR, SPI 300w PSU & Ati Radeon 8500 gfx card. It was to upgrade a pc with win98se installed.
Once I installed all the hardware, I then upgraded 98se to winxp pro straight away. The thing booted normally & functions smoothly, but whenever I shutdown windows, the thing just reboots & goes back to windows. This happens most of the time & only rarely does it powers down as it should. Once or twice it beeps 3 long beeps repeatedly after shutting down windows (it doesn't power down, but the screen is blank & the HDD lamp is on for a few seconds). Whenever it beeps, it doesn't reboot but doesn't power down either. I tried removing the Hyundai ram but same problem.
Then, I updated the bios to ver 5.2, & with conservative ram settings (normal timing & SPD everything), it behaved as it should. I repeatedly shutting it down (abt 7 times) & everytime it worked, powering down normally each time. I had already reinstalled the Hyundai ram this time. Then I upped the ram timing to fast, & it still shuts down windows & powers down ok (I tested it once). All seems well, but then I started up the system, ran it for abt an hour (benchmarking, surfing net), then the old disease came back!! Windows shuts down but doesn't power down the pc, it also beeps 3 long beeps repeatedly again. I then changed the ram timing back to normal but again it does the same thing.
What's wrong? It beeps 3 long beeps repeatedly, & the Dled in the D-bracket has 3 red lamps on & 1 green lamp (green on led #2). Problem with mobo or ram?
Just to add that I have a 3com 3c905b lan card & I think there's no WOL. Also, all ACPI & other bios settings are at default.
 
You have been advised several times not to upgrade from 98 to XP, format and reinstall.
Also dont mix ram, at least not untill you have a stable system, then if it goes tits up you know what the problem is.
 
I have tried reformatting the hdd & clean install winxp pro, I have also tried running only 1 stick of ram. Problem still persists.
 
I tried some of the things (e.g. updating logitech mouseware, disabling 'restart on system failure') but still doesn't work. I'll try the rest in that webpage & see what happens.
Do u guys know the routine for shutting down windows & powering off pc? Is it when u shutdown windows, it saves everything to HDD, unloads all drivers, then sends a signal, then some controller on the board will tell the psu to switch off?
 
Ok, now, here's another problem.
I tested the system again by booting into dos using system disk, then I tried switching off using the power button on the case, the system reboots instead of powering down!! So I think it isn't a windows problem.
Then, I took out the ram, reinstalled it to make sure it's seated firmly on the socket, then started the pc up, using boot disk booting into dos again. I then again tried switching off using the power button on the case, & it worked twice in a row, switching off successfully. After that, it still reboots if I tried to switch off in dos using the power button. Then, to test whether it's a psu problem, I unplugged the HDD, CD-Rom & CD-RW drives from the psu, then I started it up.....
It now goes to the boot screen but froze on the line 'checking NVRAM'. I reconnected the HDD, again it still froze on 'checking NVRAM'. I cleared CMOS, again it froze on 'checking NVRAM'. Is my board dead?
 
Ok, I've taken the board out of the case, with only the gfx card & lan card attached to it, no hdd or other drives. I tried to boot up the board & it can now successfully boot up. No freezing on NVRAM message. I switched it off using the switch on the case, again it functions normally, but only once. I tried many times & it still either reboot when attempting to switch off, or screen goes blank & the board beeped 3 times (i.e. ram error).
I then tried using another stick of ram, but the same thing happens, 1st time ok, then 2nd time onwards it gave me trouble. So sometimes it can power down normally but more often than not it reboots itself.
I don't really know what's happening, & I'm sure the dealer won't exchange it for me if he tests it & it performed ok for him.
