Problem with US Robotics modem (something keeps trying to use it)

I just built a new AMD based computer with an Asus motherboard w/ AMD 1800XP chip and a US Robotics 2976 56K V.90 Data, Fax, Voice Modem and Windows 98SE. Upon installation everything is fine modem dials normal, but after rebooting the computer I attempt to dial and I get the message that modem is not working and is in use by another program. I have checked everything and have shut down anything that tries to run. I checked in Windows (Dr Watson) at the tasks that are running and there are no programs (other than basic windows prog) running. At anyrate if I go in to device manager and remove the modem then reboot modem re-installs on start-up and everything is ok again..but after rebooting again the modem has the same problem. seems I have to remove it and reinstall anytime I need it. has anyone seen this or have any ideas? It would be greatly appreciated. one other note is that modem is on com 5..is that typical?

Already have ...this was an OEM modem that I ordered from NewEgg and it didnt have a driver disk with it. I went to US Robotics site and downloaded the latest when I assembled the computer.

Did you try using the "USR Modem Identification Wizard" : http://www.usr.com/v92/v-qualify.asp?
Then also the "ControlCenter" to check for firmware &/or driver updates.
WinXP should correct the problem. WinXP Home Upgrade can be found, for around $80 (or less after coupon at Staples).

There is probably a conflict somewhere. Go to the BIOS and disable the motherboard COM ports so that the modemcan use the free resources.
