problem loading gpedit.msc -- nm

I'm getting this error when i try to load gpedit.msc:

Snap-in Failed to Initialize.
Name: Group Policy
CLSID:{8FC0B734-A0E1-11D1-A7D3-0000F87571E3}

same thing if i load secpol from admin tools.. i fixed the path variable.. nothing.. asked a friend to send me gpedit.*, and to give me all the keys that had that value in it, which he did, i imported, and still no luck..

anyone have any ideas..

EDIT: one of the stupid keys was invalid..
 
Is this XP Pro or 2k?
If it is 2k, you could try running the Adminpak.msi found on an Advanced Server disk, Im pretty sure you can download it from www.microsoft.com as well.
The adminpak should install / re-install all the snap in's available on a 2k AS setup.
If it's XP pro, this is not an option, as the 2k adminpak is not compatible.
