Power supply Problem

alright i got a lil shutdown problem. when i shutdown my comp it starts shuting down and once it supposed to like shut off it just turns back on and goes in a lil loop to try to shut off. well my sys specs are :
CPU: AMD AMD 1.33GHZ 1333MHz
Motherboard: Iwill KK266
Memory: 512 MB of Generic PC133
Video Card: Hercules 3D Prophet 4500 (ST)
Hard Drive: Western Digital 40.0 GB @ 7200 RPMS
Monitor: Gateway Vivitron
CDROM Manufacturer & Model: Generic 56x
Storage Interface: IDE

Sound Card: C-Media 8738
Operating System: Windows XP
now i got a rma on my powersupply and i tried and it the problem still continues. could it be my mobo or what? any ideas? my power supply was a 300w enermax and it is listed on the approved ps for athlons. and my rma one i received was a 300w premier and i don't know if it is a athlon approved. now any ideas?
 
I'm going to bet your using bios version 426 correct? It has a shutdown loop issue, so it's probably not your PS. Try upgrading to 515 or even better down to 307 (faster), although I don't know how well the 307 works with WinXP. The 515 is fine with it.

uhhhhhhhhhhh what do you mean......i have October 22, 2001 BIOS......
