Pls Help Moving Apps from Win 98SE to XP Pro

I've got almost everything up and running, but the setup progs for a couple of apps give me this error message:
The Win16 Subsystem was unable to enter Protected Momde, DOSX.EXE must be in your AUTOEXEC.NT and present in your PATH.
I set up an AUTOEXEC.NT in C:\Windows\System32 that is supposed to set up an environment for some of my old DOS apps, but even if I call DOSX, I get the same error.

When I go to the command prompt and try to run DOSX, I get:
Cannot run this 16-bit protected mode application;

The DOS extender has encountered an error initializing the extended memory manager.
