First off, here's the OCZ

and now here's the G.Skill

I am pretty torn. I think the OCZ would probably do great. I have a P5N-E I'm going to reveive with a E6400. I am only planning on OCing it to about 2.4 - 2.6ghz. I might go up to 3.0 - 3.2 but not too sure as I'm a novice when it comes to OCing. I don't see a need to go that high, but as an option 3ghz sounds nice.

From reading the reviews the OCZ seems to OC pretty damn good and overclocks well for 667 RAM.
The G.skill ends up being $60 more in the end b/c of the rebate on the OCZ, but it is DDR2800 vs. the 667 of the OCZ, so can jump up a bit higher on it's OC.

I truthfully don't know if that makes that much of a difference and I am very torn on what to go with. Both seem to be great sets of memory, so it's hard.

Please Help and advise!

First of all, welcome to AT. Secondly, which RAM you buy depends on you. If you want the ability to be able to run @ 3.2 Ghz some time in the future, then you're gonna have to buy PC6400. If you're sure you won't, then PC5300 or 5400 will be all you'll need. Decide how important overclocking higher is to you, and you'll have your answer.

So let's say I'm uneasy about going that high (which I am in a way..) and I'll stay below 3.0ghz. Maybe around 2.8 at the highest. Will the 667 work then? or would I still need the PC26400?

Well, 2.8 Ghz with an E6400 is 350 Mhz. Most PC5300 should be able to handle that, although you may have to raise the timings a bit higher.
