Please help! Unable to shut down!!

I'm currently facing a weird problem that I've never had before. My system is been operating for like about 3 months without shutting down (some restarts and temporary shut downs for less than five times). Few days ago while I was surfing the net the system just suddenly restarts itself without notice (this happened a few times before, less than 5 times in 3 months). The weird thing is that since then, whenever I click 'shut down' from start menu, the system restarts itself instead of shutting down!!!! Now I can only shut it down by pressing the power button on the case (to go soft-off, a feature of Asus board), or of course switch off the power supply unit.

Can somebody suggest that what might be the causes of this problem? Is it the windows XP (software related), power supply (Antec TurePower 430) , motherboard, HDDs, CPU, or overheating problem (during operation the temp for CPU is usually 42C/107F and for MB is 37C/98F) ?

There should be no virus since I update the virus definition every 2 or 3 days if they are available and scan the whole system at least twice a week. My OS is Windows XP pro sp1a with all available windows updates. One more little thing is that, before the problem, my system usually boots up in a 8~15 second time frame, but now it takes like about 25~45 seconds.

Thanks for your reply, Techno Pro. Unfortunately, it still doesn't help even in the safe mode. It goes restart whenever I try shut down......
