Please help me pick hardware for my new OCed system

I have $775 to spend I will be spending $335 on mobo and vid card so Im left with $440 for proc and mem now here is were I need help what should I get?
Thanks for any input you might have.
BTW I will be using some parts from the system I have now. I have a 550w enemax, 120gig WD 8mb HDD, Liteon 48x burner and a Toshiba DVD I also have a CHIEFTEC Server Chasis (Aluminum Workstation Tower with Plastic Front Cover), Model "AX-01SLD" -RETAIL **Now with 2 x Front USB2.0 and 1 x Firewire IEEE1394 ports**

Mobo: ASUS 865PE Chipset Motherboard for Intel Socket 478 CPU, Model "P4P800 Deluxe" $125 Newegg

vid card: SAPPHIRE ATI RADEON 9800PRO Video Card, 128MB DDR, 256-bit, DVI/TV-Out, 8X AGP -BULK -OEM $210 Newegg

cpu: ???

Mem: I want a gig of dual channel ??

P4 2.8C or 3.0C are the best buys from Intel right now (2.8C is a better buy IMO).

Corsair XMS, Kingston HyperX, Mushkin Level II would all be good choices. I'd get 2x512MB of PC3500 or better with the tightest timings you can find.

You might want to check out the Abit IC7-G though instead of the Asus...unless you've already done research on the Asus, you might want to read some stuff about the IC7-G and OCing.

i would get a i875 board instead (abit or asus)
the vid card looks alright (could go nvidia or ati in that price range)
as for the memory i would go for the really cheap geil pc3500 or get something with hynix chips (pc4200 if you want a high fsb/mem 1:1 overclock and got the money)
