Perplexed by new system problems..

I just upgraded my friends pc to an XP1700 and shuttle AK32 spacewalker board. I disabled all "wake-on" features in the bios, but something isn't right. When i choose shut down from windows, I get a screen that says "now safe to turn off pc". I then have to hold the power button for 4 seconds for the pc to really shut down. Now here's the kicker: exactly 4 minutes after shut down, the pc restarts on its own. I have been through bios a dozen times and nothing pertaining to this is enabled. I just can't figure it out. Here's more info if needed: antec 300w psu, crappy ol' geforce sdr 256, linksys ethernet adapter, 256mb pc-133. I could really use some help with this, and as always I appreciate any suggestions.
 
Wow, that's odd. This a total guess, but make sure the RAM, HD cables, etc. are seated properly. Also check to see the condition of the BIOS chip, as I believe they are removable and it might have loosened.
 
I will check out the mobo, thats all it really seems like it could be. I reseated all hardware numerous times and did find that the vid card wouldn't sit right until I loosened the 2 screws near the dvi port. It still gave me the same problems tho. Another thing I noticed, is that when I connect the power cord to the psu, the system whirrs like on startup, but then dies. I push power, it boots with no problems. I dunno. Any other ideas or suggestions? Thanks.
