PCI device question pls?

I have a dual-boot of w98se and w2k.
The question is with w2k, the device manager shows a conflict (!) under "other devices", it showes "PCI Device" as the conflict.
I have tried to re-install it's driver and had it look at my w2k CD and the Abit MoBo CD and it doesn't find anything it likes.
As far as I know, everything works and have even tried to disable it but it continues to be there.
"Any Ideas" on a fix for this??

have you tried removing it from device manager and then rebooting and seeing if it fixes itself? also, if it's looking for drivers after that point it to "windows update" (assuming you're connected to the internet) and see what it can find.
 
Sorry for the delay, i'm back.

appricate it but i've just tried that "inf" folder path and what ever it's wanting isn't there....more suggestions please.

Compare what Win98 has in its Device manager with what W2K has in its device manager. What device is missing in 2K and is present in SE. That is most likely the guy.... Then check the web for a driver....
 
Ok, I boot'd to w98se and i got the same message and pointed it to c:/windows/system folder and to the windows update site and "zero" again SOoo i booted back to w2k and it's still there but now has a (X) on top of the (!) yellow conflict in DM.
Any other suggestions, please?
