P4C800-e CPU test failure

Help! I recently assembled a pc and I get a message, failed CPU test at boot up.
I have upgraded to the latest version of bios and still the same. I have 1 stick of Ram, not sure if
I need 2. Whenever I do get it to boot up, it works great.
What can I do?

System:

Asus P4C800-E Canterwood Motherboard
P4/2.4GHZ 800M 478P/512K HT CPU
300W Power Supply
1 stick DDR 512M/DDR333 PC-2700
Nividia VGA Albatron GeForce 128MB video card
2) 40GB/Maxtor HD
1) 80GB/Maxtor HD
Toshiba SD-R5112 DVD-R/RW

I have worked on this for over a week.

Maybe I didn't give a good explanation of the problem. When I turn on the computer it will boot ok. If I turned
the computer off and come back 5 minutes later, it gives me a CPU test message. I can turn off the power and
unplug the computer and come back about a hour later it will work. All of the settings are on standard or auto.
CPU and motherboard tempertures are about 38 degrees C. Power supply voltage is 12v and core voltage is about
1.6v.

When it's up it works great. What else can I check?
