I've been overclockin my system thru the asus AI utility, and when I get to a %10 or more increase my memory freq. gets cut or divided from 400mhz to 266. Can I manually oc and preserve my memory speed ?What settings do I use to do this and maybe increase my memory bandwidth? It currently rates about 4 1/2 gigs thru a sandra benchmark. any help is greatly appreciated...

That's happening because your ram can't run that fast. You should set your memory ratio to 5:4. That doesn't hurt the P4's performance at all. If you want to see how fast that chip can go, you can set it to 3:2, so the memory won't be what's holding you back. Also, I would raise my vdimm (memory voltage) to at least 2.7v. That will help, if you are determined to run your ram at a 1:1 ratio with the fsb. You also may need to raise your vcore (processor voltage) to around 1.65v, if you decide to try for a massive overclock. And welcome to the forums.:)
