I read about the program Step-Up so I wonder whether it is worth to exchange EVGA gtx 970 ftw on EVGA GTX 980 ACX 2.0.
Do a little overclocked GTX 980 is much better?

Only you can decide if it's worth it for you to pay $200-250 extra to step-up. The performance difference between them is 15-20%, depending on the game. How much extra is that worth to you? I would say if you want more performance, it's better to get a 2nd 970 in 6-12 months when it drops in price.
