Overclocked 754 Sempron64 3100+ to A64 Venice 3200+

My current file server (headless):
Sempron64 3100+ (current runs at 2.3Ghz, stock voltage)
Freezer64 HSF
Mini-tower case with 90mm and PSU exhaust

The server basically functions as a simple file server and encoding (xVid, DVD) machine. Currently, Newegg has the 754 Venice for $46 shipped. It seems most of those chips can hit around 2.5Ghz with stock voltage.

Given that the small case sits inside my desk, I'm not really looking to bump the voltage up much above stock due to the minimal cooling. The Sempron overclocks nicely to 2.6Ghz, but takes 1.50-1.52v.

Would the Venice upgrade be worthy? I could turn around and sell the Sempron in FS/FT and the final upgrade cost would only be ~$25 or so. I know s754 is on it's way out, but it seems like a good cheap way to increase the performance by 200-300Mhz.

I plan on keeping the hardware for a while, and may choose to turn it into a media center.

If you can get the venice up to 2.6ghz then yes it will be worth it, otherwise it's not much of an upgrade but it will still perform slightly better at the same clock speed as the sempron.

I have a 3000+ skt 754 E6 Venice that is curruntly running at 2.87ghz (287x10 1.5v), it's considerably faster than a 4000+ A64.

I wouldn't bother - as said the venice is a little better clock for clock, but there is no guarantee of getting better than 2.6ghz clockspeed, so could be a complete waste of money - save up and wait for possibly a cheap X2 instead IMO.
