Try swapping to one known good stick of ram?
Set bios to setup defaults?
Turn off boot sector virus protection?
Overclocking?
CPU temp.?
Bump voltage by the smallest increment?
Try another Power Supply or H.D.?
Reseat and check orientation of all cables/wires/jumpers/ram/CPU ect.
Try another CD or copy all files to the HD
FDisk/make active, reformat and start clean.
 
It more than likely is the CD-ROM Drive. I had one not too long ago that did it to me as soon as I replaced the CD-ROM drive it worked. SAme model just something a little wrong with the original drive.

I just set the bios to default set up and bingo!
