Opteron 165 overheating

Hey there I just bought a dfi nf4 infinity and an opteron 165... For some reason My cpu seems to overheat when i do a prime95. Stock CPU temps would go above 54 Deg. then freeze up. I realized it wont if I have the side of my case off, so I added another fan inside my case blowing fromt he front/middle but doesn't seem to help any. I'm still using Stock heatsink and removed thermalpad and put on Artic Silver (did this twice just to make sure I didn't use more or less). Bios is updated on my mobo. I know my PSU is only 20-pin but the computer seems to work fine with it (thermaltake 420w) and my case is pretty bad for airflow.. Please help.. this is getting annoyingggg. thanks
 
K an update on this.. I was palying ra3 for a few min and it frozed up again.. Now I know it cant be a cpu prob because my cpu was runnin around 43 deg. (has side panel off of case). So I am thinkin I need to get a new PSU that has a 24-pin connector. Can anyone help me with this troublshooting?
 
Opteron 165 (stock, with stock heatsink)
768mb ram @ 266mhz (old ram but worked fine on older computer. I put the ram divider on 133.
DFI NF4 Infinity updated bios.
XFX xxx Geforce 7600gt (retail oc 590/1600)
420w Thermaltake PSU 20-pin (noticed under load 12 rail would go down to 11.6)
Some Old Case i had back 5 years ago.
Maxtor 80gb ata133 hdd
Sorry about that.

I woke up today to see if my computer was still working and no it wasnt.. when i went to bed the CPU was @ 36 deg. somthing is really wrong help is appreciated. thanks
 
K I think i fixed the problem.. it seems my old 256mb 266mhz stick wasnt liked by my mobo. Comp runs fine on prime now with case closed but cpu temps are still high.. gonna buy 2 stick of 1gb mushkin ram and a new case anyways.. THanks for the help.. lol
