Old system into a HTPC?

Currently I am thinking to upgrade my new system to the 64-bit world and using the leftovers for an HTPC. Would these parts be sufficient?

ASUS A7N8X Deluxe
AMD XP 2800+
1GB Corsair PC3500
200GB Seagate HD
ATI 9700 Pro
Antec 550w PSU

Granted I would need a new case and a TV Tuner with capture card...however I may just pick up an AIW for that. Otherwise would this work? Thanks.
