OEM vs. Retail

I'm planning on getting a Duron 700 or a TBird 900 for overclocking. What's the difference between the OEM and the Retail versions? is one better then the other for OC? Is the fan and heatsink that comes with the retail version good enough for OC?
 
Retail has a longer warranty, 3 yrs as opposed to 30 days usually. You're better off getting an aftermarket heatsink and fan if you're going to overclock.
