This is the stock I will be overclocking both GPU and CPU

Without reading your system specs, yes as long as you don't have 15 SCSI drives, SLI 6800 Ultras, and a quad Xeon setup, you'll be fine.

It should easily power that system, My little brother has something fairly similar to that (a bit slower eg 3200+ and a GT instead) and it's being powered by a 350 watt Antec

Dont forget the DFI board to go with it, overvolt those lines and crank up the FSB 😛
