NF7 Code 12

I'm not sure how many users are experiencing this problem as when I searched online, very few forums had any thread related to my particular problem. (except the gameport problem).

System Specs:

AMD XP 1700+ (Default clock spd)
Abit NF7 (Rev. 2)
GeForce3 Ti200
D-Link Wireless G 520 Adapter
Hercules Fortissimo II
WD 120GB 7200 RPM HDD
Allied 400W PSU
Crucial 256MB DDR pc2100 (I'm using 1 stick for testing)

Previously with my MSI KT3 Ultra, all my PCI cards were working correctly. When I installed the NF7, i started receiving code 12 errors (not enough free resources) with my wireless adapter and my sound card. I installed the newest 3.13 nForce chipset drivers, with everything enabled - sound, onboard lan, usb, pci to pci bridge, agp to pci bridge, memory controllers, etc.

I attempted to disable all unnecessary devices taking up IRQ, including FDD controller, onboard audio/LAN, USB, Video, Serial/Parallel ports, yet I still recieved the same error.

I even attempted to assign my wireless NIC an IRQ that was not shared, but still recieved the same code 12 error. After disabling the devices in BIOS, I disabled the devices that showed up in Device Manager, rebooted, and still Code 12.

I have the newest BIOS revision 24 (I believe - 3/24/2004 or something close) and all PCI cards work when I install them into my MSI KT3 Ultra again.

Any suggestions or insight as to what could be the problem, or should I just RMA it back?
