looks OK, but I would opt for a dedicated video card rather than the Intel Graphics.

Some gaming but doubtful as i will be pickup a Xbox 360 for that. Mostly Downloads/ripping/internet and other stuff.

You want to consider if you'd rather have a bigger screen along with less portability or a smaller screen and more portability. Also weigh in battery life. If you want something more portable, I think Dell finally has a 14" widescreen laptop in the inspiron family (e1405?), and competitor 14" wide solutions include the Compaq V2000/Z, Thinkpad Z60t (possibly a bit out of budget), and HP DV1000. Of course if you don't want wide, there are plenty of fullscreen choices out there too.
If you aren't moving the laptop around much, you'll find a lot more choices for the 15.4" form factor (though the Dell is pretty much the cheapest for the given specs), and possibly a few 17" laptops to look at as well.
