New System Woes

Ok to start off, I just built a new system w/ :

(All Drivers and BIOS have been updated and only using mfg drivers. non beta)

Asus CUSL2 Motherboard
PIII 800 EB (133)
256 MB PC133
30 GB IBM Deskstar
Asus v7700 deluxe (Geforce2)
Mitsumi 50x CD-ROM
Creative 8x4x32 CD-RW
Creative SB Live
Intel Pro 100+ NIC card
and a TekRam DC-390 SCSI card for my E3 Scanner
also have an HP 712c Deskjet.
(Just FYI I am using a PS/2 Microsoft Internet KB and a Intellieye Intellimouse (USB non explorer model) )

OK.. since building this pc I have had lockups occasionally in everything from Windows media player to outlook to games .

For 2 weeks I ran this system w/ no trouble at all on Windows 2000 but then reformatted and went back to Win98 SE (yes I fdisked and did it all from scratch) do to some game/program compatabilities.

Now at this point (I have already replaced RAm w/ like 256 MB PC133) my system hangs at shutdown or restart at the "shutting down windows" screen as well as redetecting my already installed printer EVERY single time I reboot and my KB numlock light stays on EVEN when the system is powered off (I have power up on KB command disabled in BIOS).

I have removed and re-installed printer and checked BIOS settings and everything is in order.

If anyone has any ideas about this or any fresh perspective, I'd appreciate hearing it. Thanks!

(Personally I am thinking the MB has trouble)

I'd check for resource conflicts among the adapters. w2k is able to handle resources better than win9x, and might have been able to get all the devices to live together amicably, whereas win9x can't.
