New CPU, now computer won't boot

I had a 3000 e3 venice working perfectly fine. Then I put my new 3000 e6 venice in, reset the CMOS, and now it won't boot. It just goes to the pretty little DFI boot picture and doesn't go past that. I'm very concerned, suggestions apprectiated. Is the chip DOA?
 
All but the last Diagnostic LED will go, that's #4 the VGA LED. I googled it and some other person had a problem because the motherboard wasn't seated right. I really had a hell of a time attaching the heatsink, maybe I pushed it too hard and I'm shorting something. I just don't know.
