New CPU constantly freezes

I just upgraded a 3000+ venice to a 4000+ San Diego in a Asrock 939 dual Sata 2 motherboard. At stock speeds for ram and CPU and voltages, windows will lock up for ten seconds every few minutes. If I play music it will stop playing for ten seconds then resume fine. I can still move my mouse, and when the freeze is over all commands will be completed. The temp is around 32 degrees. Running Win Xp sp2 and the problem still persisted in safe mode. I tried changing memory timings and also updated Bios to no avail. What should i try next.

First thing I would do if I were you is update the bios on your motherboard. If that doesn't fix it you could put in the 3000+ to see if you are still getting freezing or you could try a repair install on windows while you still have the 4000+ still in there. If that doesn't work you could then put the 3000+ back in and see if you are getting freezing.

So first bios, then the next step is up to you, whatever you want to do.
 
I already flashed to another bios and which didnt help. I will probably try the repair install first then do the swap of cpus then try some other Bios versions if those dont work.
 
late update: but after putting the 3000 in the PC wouldnt post so i anxiously put the 4000 back in to see if something else went wrong during the switch and everything worked fine. For a week. Now today the random freezes are back and while not as often they still occur for about ten seconds.
