New computer: Restart issues

Hi guys i have'nt built a new pc in a very long time. Yesterday i bought a Gigabyte EP45-UD3P with a core2 duo 2.8ghz 1066 fsb 3mb l2cache. I have a 600w power supply and geforce 9800 gtx. I can get the thing started, but once i get into the bios and then restart the computer, it starts up for 2 seconds, then shuts off. and so on... I Have to wait about 3-5 minutes to boot up the computer again before it stays on. I dont want to fry the cpu or mobo. not sure if this is a ram issue either. Any suggestions?
 
yeah tried re-adjusting the cpu put some compound on it then i tried all the ram switched them all. seems like i might have narrowed it down to either the mobo or the power sup. so i'll see tonight. taking it to work then if still not successful i'll take it back to retailer to see if they can fix or diagnose. then maybe swap out what is'nt working.
