I would try running memtest overnite.

Also look in event viewer and see if there are any events with a red/white cross that are associated to browsers.
Report back.

Looping Memtest right now will check it when I get home....nothing in the event log. Hoping its not the chip for the Ethernet on the mobo REALLY do not want to RMA anything. Crossing fingers for it to be just a Vista issue and that a OS re-install will fix issue. Thanks for the replies everyone let me know of any sites I should check for more info

Could try a PCI NIC and see if that sorts it out.
How long is your cable going from the PC?
Do you connect to a router?
How long is the cable going to the modem/router from the phone line?
How many extensions have you got?
Are all the extensions 'filtered'?
Can you watch any streaming video (something on Youtube or whatever ) whilst listening to internet radio and downloading a little file or two for a few minutes without a problem?

#1- will try a PCI NIC
#2- 6 feet
#3- yes
#4- The line going from the router to the DSU is 6 feet
#5- This is not a DSL circuit
#6- Again, not DSL
#7- No, most downloads of any sort, or should a say streaming data connection will result in a sudden and immediate lockup requiring a hard reboot.

Hope this helps

Do you have any problem moving files about on your hdd, or transferring files to hdd?

If not, my money is on RAM problem or, as you said, chip on mobo (NIC).

Seems odd to me that surfing the web would work. I could be wrong but I don't think there is any difference between downloading a file and loading a webpage...
