New build, OS & memtest problems

I just built my first machine with the following parts:

AMD 64 3200+ Venice
DFI NF4 Ultra-D
Corsair XMS PC3200
XFX 6600GT
Seagate Barracuda 7200.8 250GB (SATA)
Chaintech AV710 Soundcard

My problem is that orginally, after it posted and everything looked fine in the bios, XP Pro would not install.
After putting in the disk, it would sit idle while displaying the message, "Setup is checking your computer's hardware configuration..."
for a an indefinite period of time. After making sure everything was enabled in the bios and connected correctly and still no luck, I updated the bios (3.10)
exactly as the DFI website instructions said to. Now, I can't get out of the memtest86+. Everytime I reboot, it just reenters memtest86+ (v1.51).
While in memtest, I get errors, so that may be a bad memory stick issue, but I should still be able to load windows, correct? Help would be most appreciated.

1) crank up the memory voltage to 2.8 volts.

2) put in the WinXP CD and take out the Memtest floppy (if that's how you're running Memtest), reset the system and see if Windows Setup runs now. If not, pull out the sound card and take another run at it :)

windows may not install on messed up memory...if memtest is failing, replace the ram and try again.
