Network load balancing a Advanced Win2K server

I have 3 3com 3c905b's in a Adv Win2k server box which I want to load balance for a file server. Anyone have experience doing this? Im getting confused with all the settings. I know that only 1 NIC needs the Network load balancing drivers and that one has an IP assigned to it. However I dont know about the virtual IP and dedicated IP settings. Also do the other NIC's get any IP's?
