Network card installing, Failed!

Recently my friend bought a network card and try to connect the old HP 300Mhz to his new notebook. After we installed the network card, the windows detected it and begin to install the driver. Everything looks fine, but after restart and go the the system device information we found that the network card is marked as not working properly! Then we installed it in my computer. Everything is fine, and it works properly. Do you think it is because some hardware conflicts with this network card or some I/O interrupt request problem? We also installed another different operating system, but it still does not work. Some suggestions about what may be wrong?

It is the netword card of Netgear base model and the OS is win98. No error messages at all! It can detect the network card and allow me to install the driver. But after that it simply tell me that this device doesn't work properly if I go to have a look at the device manager. Thanks.

One basic question, what is NIS? Thanks a lot and how do you think I could fix this problem?
