need help, computer restarts after selecting "shut down" windows xp

i've enabled/disabled ACPI in bios, and enabled/disabled APM in windows xp. when i disable APM, it gives me "your computer is now safe to shut down", so i have to hold pwr for 10 sec. if i enable APM, it just restars after selecting "shutdown". enabling/disabling ACPI makes no difference. help?
 
I've had this happen once before on a computer. It was actually having a blue screen error during shutdown, but because it was configured by default to "Automatically Restart on System Failure", it would reboot instead of showing the error. I turned off the automatic restart and was then presented with the blue screen error.

My Computer -> Properties -> Advanced -> Startup and Recovery

Not a solution, but might get you closer. Did you try installing the latest drivers for your mainboard?

This will at least get you the actual error message... Perhaps a corrupted emul0k1f.sys
