Need advice on cpu cooler & Memory question

I am on a very restricted budget and want to build a decent gaming rig for 12x10 resolution. I found this case/psu on newegg for $49.99. It has a 550w psu.

for Mobo a gigabyte GA-E945-DSL
cpu: e5200

what would be a good cooling fan to replace the stock, that will fit in the above case? I read the reviews on it and there isn't enough space for a big cooler. There is this giant 250mm side fan. I really like that, as my computer will set in a corner under my desk with little airflow. I was figuring on being able to OC the e5200 to at least 3.4gig

Also what type of memory do I need? I have brand new, never used crucial DDR2 PC-5300

I read something that the e5200 won't need good memory, and as I already have 4-1 gig sticks, it would be free to use.
