Need a good solid P4/Celeron mobo for relay server

I need a good dependable motherboard to build a non-fault tolerant server at my office. Right now we are using Tualatin 1.3 Ghz CPU on an ASUS motherboard in a 4U rack case, but it has had issues with overheating and my boss just wants to bag it and build a new machine based on a P4 or Athlon CPU. I feel safer about an Intel system since they usually have better thermal overload protection, at least in the past. Suggesitons?

The mobo can have onboard sound, video and LAN, in fact I prefer it - modest price is good too.

Thanks... I would go that way for myself. But this is going into a 2U server rack case, and I want it to be reliable. Athlon's, historically, haven't had as good a thermal protection as Intel CPU/motherboard combo's. Correct me if I am wrong... Athlon/mobo combo's may have improved since the days of the 1 second smoked CPU.
 
They have improved a lot. Use a silent boost HSF and a nice thermal paste and you want have a single problem with heat.
