My new PC problems

So I bought a new PC, here are the specs: A64 3200+ Winnie, DFI nForce 4 Ultra D, 1GB Geil PC4000, ATI X800XL, Seagate 160GB IDE, NEC 3520a...

The manual says that the RAM should be put into DIMMS 2 & 4. When one of the GEIL sticks is in, Prime95 works. When two sticks are in, Prime95 doesnt work, it never gets past the first test. Also, I can OC either. The system wont boot past 209MHz FSB... The RAM voltage rating is 2.6V-3.1V and I set it at 2.8. What should i do?
 
Well my bios is 1/25. I guess I should update. Also, memtest ran 6 passes without errors with both sticks in. What is strange is when one stick is in Slot2, then Prime95 works. it doesnt matter which dimm, just that there is only one. When two dimms are in #2 & 4, then Prime95 doesnt get past the first test. I have tried all allowed voltages for the RAM (2.6-3.1).... Here is my post at Tom's Hardware:

A dude said that the RAM was only made for P4...I know that OCZ he suggested works, because many people at dfi-street have OCZ. Well I still dont get why the system only works with one dimm....
