My new AMD 1.1Ghz and Gigabyte MB combo keeps locking up, please help!!!

Ever since I replace my computer with AMD 1.1Ghz Retail Processor and Gigabyte 7ZX Motherboard, my computer locks up EVERY 5 mins!!! I have to turn off the computer and on again to unlock it.
This is driving me insane! I thought I had a defective board and sent it back to Gigabyte company. After waiting for a month, they sent back the "fixed" MB, but it's doing the same thing all over again.

Could it be that the motherboard is still a defect? Or possibly AMD Processor is bad. I don't know.

I called Gigabyte 3 times, and Emailed them 10 times, they NEVER respond. Their service is one of the worst I've ever dealt with.

Okay. My system is put together by myself.
AMD 1.1Ghz, 128Mb 133SDRAM, Gigabyte GA-7ZX MB, Hercules MX Video Card, Plextor Ultra SCSI 40X CD Drive, and Adaptec UW SCSI Adaptor. Windows 98.

The reason why I did not post full sys specs was because everything was working absolutely perfect until I replaced the MB & Processor. Previous MB: ABit BX-6 V.2.0 and Pentium III 450Mhz.
