The only difference is memory bandwidth.

The MSI has 64 MB of 5ns DDRAM running at GF2 Pro spec speeds of 400 Mhz.

The Gainward on the other hand has 64 MB of 4.5ns DDRAM running at near GF2-Ultra speeds of 444 Mhz.

One can get the Gainward to GF2 Ultra speeds but at a GF2 Pro price.

I'm not saying that the MSI could probably do it also but having 4.5ns DDRAM helps. I didn't like the stock Nvidia-approved cooling on the MSI board either.

The Gainward card has better 2D visual quality also, though that doesnt fall under 'performance'. Gainward's GF2 cards usually have decent 2D, the MSI cards are quite poor in that respect.
