MSI K7T Turbo & Win2k wont shutdown/restart

I can't figure out how to fix this problem. The system consists of the following (not overclocked at all):

Duron 750
256 megs PC133
AOpen Mx200
Quantum AS 20gig
LG 12x CDRW

Win2k Pro is loaded on the system. Whenever I try to shutdown/restart/log off , the computer loses all functionality. Running programs are closed, and it is impossible to open new programs. The start menu still works, and the screen is not 'greyed over'. There is no HD activity, or any sign that the computer is doing anything, and it will stay in this state for however long I leave it.

Any ideas?

Edit: All latest drivers and BIOS's are installed. (4.32, etc.)

do you have service pak 2 for win 2000 installed? That seemed to fix a ton of stuff with win2k. I am having no problems with win 2k at all on my turbo board. Using 2.7 bios installed win 2k with acpi so all my cards are sharing irq 11 but it works fine. try disabling all the apps you have running in task manager and see if the problem goes away if it does then start doing the same thing 1 app at a time until you find the culprit assuming it is a software problem. I think it is a software problem myself. my guess is there is something running in the background that is causing the problem.

There is a 2.8 bios out for the turbo, also try doing a search on MS knowledge base. Sometimes it can be a simple corrupt file.

Are you running your memory timings at Fastest in the bios? (5,2,2,2)
If you are try nocking back a notch to (6,2,2,2)
Although i left the Cas at 2 this change solved my shutdown problem with WinMe. Seems my Crucial Cas 2 just aint up to running the fastest memory timings on my Iwill KK266R
Strange thing is that i can run (5,2,2,2) in Win2K no problem?

It's not a hardware issue or a bios issue, it's a driver issue. When windows shuts down, it disables (not the word i mean but somewhat close enough) each video driver. Sometimes it gets "stuck" on a driver, causing your system not to shutdown/restart. For me, my sblive drivers caused this problem, so i just got a different version. DId you check the MS Knowledge base for this problem?

The RAM is running 3-3-3 100Mhz, so it should be fine. The system has SP2 installed. I'll try the rest of your suggestions when I get a chance.

I'm sure its a software problem - I'm unable to figure out what's causing it though. I'm thinking it must be drivers - maybe for the integrated sound?
